Tuan Sing Holdings Limited (“Tuan Sing”), a regional investment holding company focused on real estate development, real estate investment and hospitality, and SP Corporation Limited (“SP”) today jointly announced (the “Joint Announcement”) the proposed acquisition by Tuan Sing of all the shares in the issued capital of SP (“SP Shares”) held by the SP shareholders other than Tuan Sing (the “Scheme Shareholders”), by way of a scheme of arrangement (the “Scheme”), in accordance with the Singapore Companies Act and The Singapore Code on Takeovers and Mergers. Both parties have entered into an implementation agreement (the “Implementation Agreement”) for this purpose.

Tuan Sing reported revenue of $81.7 million in 2Q2018, a drop of 3% as compared to $84.1 million in 2Q2017. For 1H2018, Group revenue declined marginally from $158.9 million in 1H2017 to $158.1 million, mainly due to lower sales of residential development projects and a slight decrease of revenue from the hotels business. The slight decrease was partially offset by higher revenue in the Industrial Services. However, the net profit attributable to shareholders increased 70% for 2Q2018 and 58% for 1H2018 over their corresponding periods last year on account of the one-off $3.9 million gain arising from the sale of a plot of land in Qingdao, China.

An increase of net profit attributable to shareholders for 1Q2018 by 53% to $8.2 million mainly because of a oneoff $3.9 million gain on divestment of a subsidiary in China.

Tuan Sing reported revenue of $98.0 million in 4Q2017, a decrease of 4% as compared to 4Q2016 as there were lower activities from Industrial Services segment. For the full year, Group revenue was $357.9 million, a reduction of 11% as compared to $404.0 million last year duemainly to lower sales of the residential development projects. Net profit attributable to shareholders for4Q2017 increased by 298% to $49.7 million. However, for the full year, the increase was 87% to $62.7million. Higher profits reported were attributable to the fair value gain on investment properties of $44.5 million as compared to $2.2 million last year.

Tuan Sing reported revenue of $101.0 million in 3Q2017, an increase of 12% as compared to 3Q2016, due mainly to higher contribution from Property and Industrial Services segments. However, net profit attributable to shareholders fell 9% to $5.9 million. For 9M2017, Group revenue was $259.9 million as compared to $302.3 million in 9M2016. Net profit attributable to shareholders dropped 38% to $13.1 million from $21.1 million last year due to overall decrease in salesof residential development projects.

Tuan Sing reported revenue of $84.1 million in 2Q2017, a drop of 21% as compared to $106.6 million in 2Q2016. Net profit attributable to shareholders fell 64% to $1.8 million. For 1H2017, Group revenue was $158.9 million, a decline of 25% as compared to $212.0 million last year. Net profit attributable to shareholders dropped 51% to $7.2 million from $14.7 million a year earlier. Lower revenue and profit were due to the decrease in sales of the residential development projects.

Tuan Sing reported first quarter revenue of $105.5 million as compared to $155.3 million in the same quarter last year. Profit before taxand fair value adjustments stood at $12.0 million. Net profit attributable to shareholders was $9.6 million as compared to $15.9 million in the same quarter last year. Earnings per share was 0.8 cent, down from 1.4 cents a year earlier. Net asset value per share rose to 75.1 cents at 31 March 2016, up from 74.4 cents at 31 December 2015.
